Using the service

Terms of Use

These terms govern your account, subscription, and use of the MyPDTracker® service.

1. Service

MyPDTracker (may also be referred to as Subscription and/or Service) by Cloudbridge LLC is a personal professional develop recording, tracking and reporting subscription service. To utilize the service, users are required to register for an account.

2. User Accounts

2.1. Eligibility

To create a Subscription, you shall be at least 18 years old (or of the reciprocal age of majority in your state or jurisdiction) and able to form legally binding contracts. We do not knowingly collect personal information from children under 18 years of age.

2.2. Registration

In the course of registration of a subscription account, you need to provide us a valid email address, and/or other information as prompted by the registration form or as required by applicable law.

2.3. Account Security

You are solely responsible for maintaining the confidentiality of your account, your password and for restricting access to your computer, and you will be solely responsible for all acts or omissions that occur under your account. You should only create one account for the Subscription.

Unless expressly permitted in writing by Cloudbridge LLC you may not sell, rent, lease, share, or provide access to your account to anyone else, including without limitation, charging anyone for access to your account. Cloudbridge LLC reserves all available legal rights and remedies to prevent its unauthorized use, including, but not limited to, technological barriers, IP mapping, and, in serious cases, directly contacting your Internet Service Provider (ISP) regarding such unauthorized use.

You agree to keep your contact and billing information (including but not limited to email address) true, accurate, complete and up-to-date, and to comply with all billing procedures, including providing and maintaining accurate and lawful billing information for active MyPDTracker subscription accounts.

Cloudbridge LLC does not sell customer personal information. We disclose customer personal information to service providers only as needed for them to perform services on our behalf, or when disclosure is required by law. See our Privacy Policy for more information about these service providers.

Cloudbridge LLC does not embed content from other websites.

3. Subscription, Payments and Refunds

3.1. Subscription

The Service is offered on a subscription basis for a fee. The subscription renews automatically until you cancel. By purchasing a subscription, you agree that you will be charged the applicable subscription fee at the beginning of your subscription period and on each renewal date thereafter until you cancel, at the then-current subscription fee.

The options for the subscription period(-s) duration may be set at the discretion of Cloudbridge LLC and change from time to time. It is crucial to review the payment page for the applicable subscription terms. All relevant and applicable fees will be clearly stated on the payment page, which we advise reading carefully.

We may also from time to time offer discounted offers that automatically renew at the full price without a discount after the end of the discount period. Such offers may include, but not limited to, introductory offers, when you set up an account and initiate your first subscription with us.

3.2. Cancellation

Your subscription renews automatically at the end of each subscription period until you cancel. To avoid being charged, cancel your subscription before the end of the then-current period.

You will be responsible for all subscription fees (plus any applicable taxes and other charges) incurred for the then-current subscription period. If you cancel, your right to use the Service will continue until the end of your then-current subscription period and will then terminate without further charges.

We may cancel your subscription if you fail to pay for your subscription, violate these Terms, or for any other reason in our sole discretion.

3.3. Refunds

Except where required by law or expressly stated in our policies, subscription fees are generally non-refundable and non-exchangeable.

4. Prohibited Activities by Users

This is a list of activities that we prohibit while subscribed to MyPDTracker:

  • You shall not create duplicate profiles;
  • You shall not upload, post, email, transmit or otherwise make available to other Users any chain letters or junk email, commercial advertisements, or any other form of commercial solicitation;
  • You shall not post, transmit, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior consent of the owner of such proprietary rights;
  • You shall not remove any copyright, trademark, or other proprietary rights notices contained in MyPDTracker;
  • You shall not interfere with or disrupt the Subscription or the servers or networks connected to MyPDTracker;
  • You shall not post, email, or otherwise transmit any material that contains software viruses or any other computer code, files, or programs designed to interrupt, detrimentally interfere with, damage, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment;
  • You shall not make illegal and/or unauthorized uses of MyPDTracker;
  • You shall not "frame" or "mirror" any part of MyPDTracker, without Cloudbridge LLC's prior written authorization;
  • You shall not modify, adapt, sublicense, translate, sell, reverse engineer, decipher, decompile, or otherwise disassemble any portion of MyPDTracker;
  • You shall not attempt to interfere with, harm, steal from, or gain unauthorized access to MyPDTracker, User accounts, or the technology and equipment supporting MyPDTracker;
  • You shall not impersonate another person, or misrepresent your affiliation with a person or entity;
  • You shall not disclose personal information about another person or harass, abuse, or post objectionable material;
  • You shall not use MyPDTracker in an unlawful or illegal way;
  • You shall not access MyPDTracker from a jurisdiction where it is illegal or unauthorized;
  • You may not resell or make any commercial use of our Service without Cloudbridge LLC's prior written consent.

5. Disclaimer of Warranties

Except where otherwise inapplicable or prohibited by law to the fullest extent permitted by law, Cloudbridge LLC's services, software, and related documentation are provided "as is" and without any warranty of any kind either express or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose.

Cloudbridge LLC expressly disclaims all warranties of any kind whether express or implied, including, any warranty that:

  • MyPDTracker will meet your requirements;
  • MyPDTracker will be uninterrupted, timely, secure, or error-free;
  • MyPDTracker and the server that makes it available are free of viruses or other harmful components;
  • The results that may be obtained from the use of the Service will be correct, accurate, timely, or reliable;
  • The quality of any data or service available on the Service will meet your expectations, and any defects or errors in the Service will be corrected.

Any material obtained through the use of the Service is accessed at your own discretion and risk, and you will be solely responsible for any damage to your computer system or mobile device or loss of data that results from the use of any such material.

6. Limitation of Liability

Except where otherwise inapplicable or prohibited by law in no event shall Cloudbridge LLC, its parents, subsidiaries, officers, directors, shareholders, employees, agents, joint venturers, consultants, successors or assigns be liable for any indirect, special, incidental, consequential, punitive or exemplary damages (including, but not limited to, loss of business, profits, data, use, revenue or other economic advantage), even if advised of the possibility of such damages resulting from:

  • The use, attempted use, or the inability to use the Service;
  • Reliance on information obtained through MyPDTracker, from other Users or third parties;
  • Unauthorized access to or alteration of your transmissions or data;
  • Any other matter relating to the Service.

The limitation of damages set forth above is a fundamental element of the basis of the bargain between us and you. Even if Cloudbridge LLC is found liable under any theory, in no event will our liability exceed the amount of fees you pay to Cloudbridge LLC in the applicable subscription period.

7. Indemnification

To the fullest extent permitted by law you agree to indemnify and hold Cloudbridge LLC, its parents, subsidiaries, officers, directors, shareholders, employees, agents, joint venturers, consultants, successors and assignees harmless from and against all losses, costs, liabilities and expenses including reasonable attorneys' fees, asserted by any third-party resulting from or in any way connected with or related to your use of or conduct while using the Service and/or your breach of these Terms.

Cloudbridge LLC reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with, and fully indemnify, Cloudbridge LLC in connection therewith.
